PRESS RELEASE

Abacus Finance Group, LLC (Abacus), a New York-based specialty lending company dedicated to providing cash-flow senior financing for private equity-sponsored, lower-middle market companies, announced today that it served as Administrative Agent and Sole Lead Arranger for senior secured credit facilities to support the leveraged buyout of SQAD, Inc. (SQAD) by Clarion Capital Partners, LLC (Clarion).

SQAD, headquartered in Tarrytown, NY, is a leading provider of media cost data and ratings analytics software for national TV, local broadcast and the internet. Clarion is a New York-based middle market private equity firm which invests in growth companies across a range of industries.

“This was a new relationship for us, and from the start we appreciated the Abacus team’s enthusiasm for this deal,” said David Ragins, Managing Director of Clarion. “They responded quickly, were innovative and flexible on both amortization and pricing, and their existing working relationship with BB&T Capital Partners provided a smooth execution for both the mezzanine and senior financing.”

“Clarion proved to be a great match for us,” said Tim Clifford, President and CEO of Abacus. “We were immediately impressed by their level of due diligence and their media industry knowledge. As in other transactions, the critical success factors for us came down to flexibility and our ability to provide certainty of close – both important aspects of what we call our Total Partnership ApproachTM”.

Abacus team members involved in the transaction included Sean McKeever, Song Pettus, and Chengyuan Zhao. Abacus was joined in the senior financing by Crescent Capital, and Stellus Capital Management also participated as a mezzanine partner. Legal counsel was provided to Abacus by Goulston & Storrs, LLP.
