Toronto-based Pinetree Capital increases stake in Integra Gold Corp

Toronto-based venture capital firm Pinetree Capital has purchased 1 million common shares of Integra Gold Corp. No financial terms were disclosed. As a result of this transaction, Pinetree now holds an aggregate of 12,327,850 common shares of Integra. Based in Québec, Integra Gold Corp is focused on exploring and developing its high-grade Lamaque Gold Project.

TORONTO, CANADA–(Marketwired – Dec. 19, 2013) – Pinetree Capital Ltd. (TSX:PNP), announces that on December 18, 2013, it acquired ownership of 1,000,000 common shares (“Common Shares”) of Integra Gold Corp. (“Integra”) through a third party vendor representing approximately 0.8% of the total issued and outstanding common shares of Integra as of December 18, 2013. As a result of this transaction, Pinetree and its joint actors collectively held, as at December 18, 2013, an aggregate of 12,327,850 common shares of Integra, including the Common Shares, and rights to acquire an additional 1,100,000 common shares of Integra upon exercise of certain convertible securities (the “Convertible Securities”). Of these totals, Pinetree owns 7,175,000 common shares, including the Common Shares, directly. In the event that the Convertible Securities are fully exercised, the holdings of Pinetree and its joint actors represents a total of 13,427,850 common shares of Integra, or approximately 10.4% of all issued and outstanding common shares as at December 18, 2013, calculated on a partially diluted basis assuming the exercise of the Convertible Securities only.
These transactions were made for investment purposes and Pinetree or its joint actors could increase or decrease their investment in Integra depending on market conditions or any other relevant factor.
