Anaergia completes TSX IPO, raises more than C$199m

Toronto-based Anaergia, an integrated waste-to-value platform, has completed its initial public offering, raising more than C$199 million, including the greenshoe option.

Toronto-based Anaergia, an integrated waste-to-value platform, has completed its initial public offering, raising more than C$199 million, including the greenshoe option. Its subordinate voting shares began trading on the Toronto Stock Exchange this week under the symbol “ANRG”. Anaergia last year secured an investment from First Sentier Investors. It has also raised funding from Export Development Canada, Global H20 Investments, Macquarie Capital and Tandem Expansion Fund.

BURLINGTON, ON, July 20, 2021 /CNW/ – Anaergia Inc. (“Anaergia” or the “Company”) (TSX: ANRG), an integrated waste-to-value platform created to eliminate greenhouse gases by cost-effectively turning organic waste into renewable natural gas, fertilizer and water, announced today that, further to its recently completed initial public offering (the “Offering”) of 12,500,000 subordinate voting shares of the Company (“Subordinate Voting Shares”) at a price of C$14.00 per Subordinate Voting Share (the “Offering Price”), which closed on June 23, 2021, the Underwriters have partially exercised their over-allotment option (the “Over-Allotment Option”) to purchase an additional 1,740,500 Subordinate Voting Shares at the Offering Price. The aggregate gross proceeds of the Offering, including the partial exercise of the Over-Allotment Option, were C$199,367,000.

The Subordinate Voting Shares began trading on the Toronto Stock Exchange (the “TSX”) on June 18, 2021 under the symbol “ANRG”.
The Offering was made through a syndicate of underwriters co-led by TD Securities Inc. and Barclays Capital Canada Inc., acting as joint bookrunners, and including CIBC Capital Markets, Scotiabank, National Bank Financial Inc., Raymond James Ltd., Roth Canada, ULC and Canaccord Genuity Corp. (collectively, the “Underwriters”).
Torys LLP acted as legal counsel to Anaergia and Goodmans LLP acted as legal counsel to the Underwriters.
