Audax Private Equity Portfolio Company, Flashpoint, acquires Risk Based Security

The Companies
Headquartered in Richmond, VA, Risk Based Security (“RBS”) specializes in vulnerability and data breach intelligence, as well as vendor risk ratings. The Risk Based Security platform, including VulnDB and Cyber Risk Analytics, provides organizations access to comprehensive asset-based security intelligence that can help quickly assess and remediate vulnerabilities based on their unique risk profile.

The Deal
Flashpoint, a portfolio company of Audax Private Equity (“Audax”), has completed the acquisition of Risk Based Security. The integration of RBS’ collections and technology into the Flashpoint platform will offer a wide range of cybersecurity practitioners, including cyber threat intelligence, vulnerability management, DevSecOps, and vendor risk management teams, the contextual threat intelligence and automation they need to help detect, prioritize, and thwart emerging cyber risks. This acquisition represents Flashpoint’s first under Audax ownership. Ropes & Gray LLP served as legal counsel to Flashpoint and KPMG Corporate Finance acted as exclusive investment banking advisor to Risk Based Security.

The Thesis
In July 2021, Audax partnered with Flashpoint, a leading provider of threat intelligence and risk prevention for commercial and government organizations. This acquisition will help enable Flashpoint’s clients to more rapidly detect critical vulnerabilities before they are widely known, and subsequently automate how they prioritize and remediate these issues. A combined Flashpoint and RBS solution will help drive differentiated value to security practitioners who are focused on protecting critical assets and infrastructure. Audax will continue to work with the Flashpoint management team to execute on organic growth opportunities and accelerate its acquisition strategy towards achieving Flashpoint’s vision of becoming a vendor that enterprises can rely on to mitigate all types of security risks, including cyber threats, ransomware, fraud, physical threats, and more.
