Brice Holdings Inc has increased its investment stake in Canadian mid-market private equity firm Clairvest Group. According to the terms of the transaction, Brice bought 39,200 common shares in Clairvest at a price of $25 per share. The firm currently owns 61,700 common shares in Clairvest. Update: Brice is controlled by Kenneth Rotman, co-CEO and managing director of Clairvest.
Brice Holdings Inc. Acquires Shares of Clairvest Group Inc.
TORONTO, ON–(Marketwired – October 21, 2014) – Brice Holdings Inc. (“Brice”) announced today that it acquired 39,200 common shares (“Common Shares”) of Clairvest Group Inc. (TSX: CVG) representing approximately 0.259% of the outstanding Common Shares, at a price of $25.00 per share.
Brice currently owns 61,700 Common Shares representing approximately 0.408% of the outstanding Common Shares. Kenneth B. Rotman controls Brice and also control 1235825 Ontario Limited (“1235825”), which owns 4,889,000 Common Shares. Mr. Rotman also holds personally 41,000 Common Shares and options to acquire 240,000 Common Shares. Brice, 1235825 and Mr. Rotman collectively own 4,991,700 Common Shares representing approximately 33.0% of the outstanding Common Shares and, together with the options to acquire 240,000 Common Shares, representing approximately 34.6% of the outstanding Common Shares on a partially diluted basis.
Brice acquired the Common Shares in a trade on the Toronto Stock Exchange. The acquisition of Common Shares was made for investment purposes. Brice may, subject to market conditions and in accordance with applicable securities laws, make additional investments in or dispositions of securities of Clairvest Group Inc., including additional sales or purchases of Common Shares.
