Cardiome Pharma Corp (NASDAQ: CRME, TSX: COM) and CarCor Investment Holdings LLC, the shareholder from which Cardiome bought Swiss pharmaceutical company Correvio LLC in late 2013, have agreed to primary and secondary offerings totaling $30 million. Cardiome will use the proceeds of the primary offering for working capital and general corporate purposes, including to fund expansion of sales and marketing efforts. Around the time of the Correvio acquisition, Cardiome is reported to have received an investment from U.S. private equity firm Fortress Investment Group. Based in Vancouver, the company is focused on the development and commercialization of cardiovascular therapies.
Cardiome Announces C$30 Million Primary and Secondary Common Share Offering
VANCOUVER, Feb. 20, 2014 /CNW/ – Cardiome Pharma Corp. (NASDAQ: CRME / TSX: COM) (“Cardiome”) and CarCor Investment Holdings LLC (“CarCor”), the shareholder from which Cardiome purchased Correvio LLC, are pleased to announce that they have entered into an agreement with a group of underwriters led by Canaccord Genuity Corp. (the “Underwriters”) for the sale, on a bought deal basis, of 1,500,000 common shares from Cardiome for gross proceeds of C$15 million (the “Primary Offering”) and 1,500,000 common shares in a secondary offering from Carcor for gross proceeds of C$15 million (the “Secondary Offering”) both at C$10.00 per common share, for a combined offering of C$30 million (collectively, the “Offering”).
The Company and CarCor have granted the Underwriters an over-allotment option to purchase, pro rata from each of Cardiome and CarCor, up to an additional 15% of the Offering (representing an aggregate of 450,000 common shares) on the same terms and conditions, exercisable in whole or in part at any time following closing of the Offering for a period of 30 days.
Cardiome currently intends to use the net proceeds of the Primary Offering for working capital and general corporate purposes, including to fund expansion of our sales and marketing efforts for BRINAVESS(R) and AGGRASTAT(R) in Europe and other parts of the world, for funding clinical development and regulatory costs of vernakalant (IV) and vernakalant (oral), and for advancement of Cardiome’s business objectives. Cardiome will not receive any proceeds from the Secondary Offering.
After giving effect to the Offering, but before giving effect to the exercise of the over-allotment options, CarCor will own 981,596 common shares of the Company, representing a 5.9% fully diluted interest. Assuming full exercise of the over-allotment option, CarCor would own a 4.5% fully diluted interest in Cardiome.
Closing of the Offering is expected to occur on or about March 11, 2014 and is subject to certain conditions and approvals including, but not limited to, the receipt of approval by the Toronto Stock Exchange.
The common shares will be offered under a short form prospectus to be filed in each of the provinces of Canada, except Québec.
