Cinven and Warburg Pincus Successfully Place Ziggo Shares

Following the press release of this morning, Ziggo‘s major shareholders, Cinven and Warburg Pincus and their co-investors have successfully placed 37 million ordinary shares of Ziggo N.V. at a price of 24.75 euros ($31.21) per share, resulting in gross cash proceeds of 915.75 million euros. There is also an over-allotment option for up to an additional 3 million shares.

Cinven and Warburg Pincus have placed 37 million shares in Ziggo N.V. at a price of €24.75 per share

Further to its press release of this morning, Ziggo N.V. (“Ziggo”) hereby announces that its major shareholders, Cinven Cable Investments S.à r.l. and WP Holdings IV B.V. (respectively “Cinven” and “Warburg Pincus”) and their co-investors announce the successful placement of 37 million ordinary shares of Ziggo N.V. at a price of €24.75 per share, resulting in gross cash proceeds of €915.75 million.

In addition, there is an over-allotment option for up to an additional 3 million shares.
After the completion of the transaction, assuming no exercise of the over-allotment option, Cinven, Warburg Pincus and their co-investors will own a combined 77.2 million shares in Ziggo, representing approximately 38.6% of the capital. Cinven, Warburg Pincus and their Co-Investors have agreed not to dispose of any further Ziggo shares for 90 days following the completion of the transaction, subject to the customary exceptions.
Final allocations are expected to be communicated today and settlement is expected to take place on Tuesday 30 October 2012.
