Sprylogics International Corp (TSXV: SPY) has said it will complete a non-brokered private placement intended to generate $2 million in gross proceeds. Delavaco Group, a Canadian private equity and merchant banking firm, will be the lead investor in the transaction. Based in Concord, Ontario, Sprylogics is a provider of local mobile solutions for consumers and businesses. The company plans to use proceeds of the deal to promote and develop its BreakingSports app, which distributes sports information tracked on social media.
Sprylogics Announces $2 Million Private Placement
TORONTO, March 2, 2015 /CNW/ – Sprylogics International Corp. (“Sprylogics” or the “Company”) (TSXV: SPY), a technology provider of semantic search and local mobile search for consumers and businesses, is pleased to announce that it it intends to complete a non-brokered private placement of 5,000,000 units of the Company (“Units”) at a price of $0.40 per Unit for aggregate gross proceeds of $2,000,000 (the “Placement”). Each Unit will be comprised of one common share of the Company and one-half of one common share purchase warrant, with each whole warrant exercisable into a common share of the Company at an exercise price of $0.50 per share for a period of 18 months.
The Delavaco Group has agreed to be the lead investor in the Placement for a minimum of $500,000 of Units.
It is anticipated that the proceeds from the Placement will be used for the promotion and development of the BreakingSports app. Completion of the Placement is subject to approval from the TSX Venture Exchange.
BreakingSports tracks social media in real-time for significant sports information and events and distributes summarized information through real-time push notifications to consumers.
