USI Insurance Services Inc, a portfolio company of Canadian private equity firm Onex Corp, has agreed to purchase 42 U.S.-based insurance brokerage and consulting locations from Wells Fargo Insurance, a part of San Francisco-based banking and financial services firm Wells Fargo & Co. USI will finance the undisclosed transaction with available debt and cash on hand. The company said the acquisition will further expand USI’s presence as a leading mid-market insurance brokerage and consulting firm. The Valhalla, New York-based USI has completed fourteen acquisitions since Onex acquired the business for approximately US$2.3 billion in Dec. 2012.

Toronto, January 27, 2014 – Onex Corporation (“Onex”) (TSX: OCX) announced today that its subsidiary, USI Insurance Services (“USI”) has entered into an agreement with Wells Fargo Insurance, part of Wells Fargo & Company (“Wells Fargo”) to acquire 42 of its insurance brokerage and consulting locations across the United States. These offices will further expand USI’s presence as one of the leading middle market insurance brokerage and consulting firms, and will complement USI’s full suite of property-casualty, employee benefits, personal lines, retirement and specialty offerings.

USI has completed fourteen acquisitions since Onex Partners III acquired the business in December 2012.
USI will fund the acquisition with available debt and cash on hand. No additional investment by Onex Partners III will be required.
