Matomy Media Group has acquired New York-based Optimatic, a programmatic video advertising company, for a consideration of at least $25 million. Matomy’s shareholders include Viola Private Equity.
TEL AVIV and NEW YORK (November 16, 2015) – Matomy Media Group (LSE:MTMY), is pleased to announce the acquisition of Optimatic, a leading independent New York based programmatic video advertising company, which combined with the acquisition of Mobfox, further strengthens Matomy’s existing programmatic solutions.
The consideration for the acquisition consists of a minimum $25 million guaranteed payment plus further contingent annual earn-out cash payments payable upon Optimatic’s EBITDA objectives, to be paid out of Matomy’s existing resources. The combined revenues of Optimatic and Matomy for the year ended 31 December 2015 (on a pro-forma basis) are expected to exceed $315 million.
Optimatic brings a unique proprietary video platform to Matomy enabling top-tier publishers to manage their inventory programmatically and a full suite of digital video Supply Side Platform capabilities built on cutting-edge technology. For the 10 month period ending 31 October 2015 Optimatic recorded (based on unaudited financials) profit before tax of $1.6 million and gross assets (excluding cash) of $15.2 million.

Matomy’s trading in the period to 30 September 2015 remains in line with management expectations.
