PE-Backed Metadigm Buys Power Engineering Associates

Metadigm Services, a provider of field and data management services to electric, water and gas utilities, has acquired Power Engineering Associates, a Cleveland, Tenn.-based utility consulting firm. Terms of the deal were not released. Metadigm is backed by Atlanta-based middle-market private equity firm Navigation Capital Partners.


Navigation Capital Partners (NCP), an Atlanta-based middle market private equity firm, announced that its portfolio company Metadigm Services, a provider of Advanced Metering Infrastructure (AMI)-related services to electric utilities in the Southeastern U.S., acquired Power Engineering Associates, Inc. (Power Engineering), a Cleveland, Tenn.-based utility consulting firm.

Power Engineering provides specialized assistance to cooperatives and municipal distribution systems in the areas of Supervisory Control and Data Acquisition (SCADA) systems, distribution system design and operation, Computer Aided Drafting (CAD) and GIS systems, inventory mapping, substation design, transmission and distribution line design, and communications systems design.

Power Engineering is the latest acquisition by Metadigm Services in support of its initiative to build an industry-leading provider of value-added field and data management services to electric, water and gas utilities. Such services include outsourced meter reading, full-service AMI meter implementations, SCADA and communications systems installation and maintenance, and data management solutions that enable improved asset management capabilities.

Power Engineering will operate under the banner of Metadigm Engineering, a subsidiary of Metadigm Services. Womble, Carlyle, Sandridge & Rice, PLLC served as legal counsel for the transaction.

Metadigm Services was formed through the combination of two previous acquisitions: the former Specialized Technical Services (STS), a provider of smart grid infrastructure upgrades and meter-related services to municipal, co-operative and investor-owned utilities based near Lexington, Ky., acquired in February 2010; and the former LEPService of Atlanta, a provider of SCADA, communication system maintenance and AMI-related services, acquired in July 2010.
