Pinetree Inks Stakes in Virginia Energy, ICN Resources

Toronto-based Pinetree Capital Ltd. has acquired stakes in Virginia Energy Resources Corp. and ICN Resources Ltd. Virginia Energy Resources is focused on the exploration and development of uranium projects in North America. ICN Resources acquires and develops mineral properties, specifically gold properties in Nevada. Pinetree Capital is publicly-traded on the Toronto Stock Exchange, and focuses on small-cap investments in natural resources.

PRESS RELEASE
Pinetree Capital Ltd. (TSX: PNP), announces that on April 4, 2011, it acquired ownership of 19,500 common shares of Virginia Energy Resources Corp. through the facilities of the TSX Venture Exchange, representing approximately 0.02% of the total issued and outstanding common shares of Virginia Energy as of April 4, 2011.

As a result of this transaction, Pinetree held, as at April 4, 2011, an aggregate of 9,000,000 common shares of Virginia Energy, including the Common Shares, and rights to acquire an additional 850,000 common shares of Virginia Energy upon exercise of certain convertible securities (the ‘Convertible Securities’).

In the event that the Convertible Securities are fully exercised, the holdings of Pinetree represents a total of 9,850,000 common shares of Virginia Energy, or approximately 10.0% of all issued and outstanding common shares as at April 4, 2011, calculated on a partially diluted basis assuming the exercise of the Convertible Securities only.

This transaction was made for investment purposes and Pinetree could increase or decrease its investment in Virginia Energy depending on market conditions or any other relevant factor.

As a result of this transaction, Pinetree held, as at April 6, 2011, an aggregate of 4,250,000 common shares of ICN, including the Common Shares, and rights to acquire an additional 750,000 common shares of ICN upon exercise of certain convertible securities (the ‘Convertible Securities’).

In the event that the Convertible Securities are fully exercised, the holdings of Pinetree represents a total of 5,000,000 common shares of ICN, or approximately 10.6% of all issued and outstanding common shares as at April 6, 2011, calculated on a partially diluted basis assuming the exercise of the Convertible Securities only.
