Sealed Air agrees to sell rigid medical packaging business

Sealed Air Corp. said Wednesday that it has agreed to sell its rigid medical packaging business to Mason Wells Buyout Fund III. Sealed Air expects to receive $125 million as a result of the sale. The transaction is expected to close in the fourth quarter of 2013. Based in Elmwood, NJ, Sealed Air Corp is a provider of packaging materials, systems and equipment.


ELMWOOD PARK, N.J.–(BUSINESS WIRE)–Sealed Air Corporation (NYSE:SEE) announced today it has entered into a definitive agreement to sell its rigid medical packaging business to a private equity firm, Mason Wells Buyout Fund III, L.P. Sealed Air expects to receive proceeds of $125 million from the sale.
Sealed Air’s rigid medical packaging business was formed from three previous acquisitions: Nelipak Holdings, Alga Plastics and ATE Costa Rica, which includes facilities in each of Ireland, the Netherlands, the United States and Costa Rica.

The transaction is expected to be completed in the fourth quarter of 2013, subject to the satisfaction of customary closing conditions. The price will be subject to certain purchase price adjustments.
On October 30, 2013, the Company provided its full year 2013 outlook for net sales of approximately $7.7 billion and Adjusted EPS to be in the range of $1.25 to $1.30. This outlook included estimated net sales of approximately $100 million and approximately $0.04 earnings per share related to the rigid medical packaging business. The Company expects that the results of this business will be accounted for as discontinued operations.
