SonicWall Goes Private

Thoma Bravo and Teachers’ Private Capital have completed their take-private acquisition of IT security company SonicWall Inc. The $11.50 per share deal valued SonicWall at around $717 million.


An investment group led by Thoma Bravo LLC, a leading private equity investment firm, has completed the acquisition of SonicWALL Inc. (SonicWALL), a leading provider of IT security and data backup and recovery solutions. SonicWALL shareholders overwhelmingly approved the $717 million merger agreement during a special shareholders meeting today. With shareholder approval, the agreement is final and SonicWALL stock will cease to trade on NASDAQ.

The investor group led by Thoma Bravo LLC includes the Ontario Teachers’ Pension Plan through its private investor department, Teachers’ Private Capital.

Despite volatile market conditions during the past three years, Thoma Bravo continues to complete software-related transactions, including five software platform investments and 15 add-on acquisitions, totaling more than $1 billion, since the beginning of 2008.
