High Road Capital said Tuesday it sold Panos brands LLC to Hammond, Kennedy, Whitney & Company Inc. Financial terms weren’t announced. Rochelle Park, New Jersey-based Panos makes and markets natural and specialty food products like KA-ME Asian foods, Andrew & Everett hormone-free cheeses, MI-DEL gluten-free and peanut-free cookies and pie crusts. Harris Williams & Co. advised PANOS while Jones Day provided legal advice.

High Road Capital buys York Wallcoverings

High Road Capital Partners has completed its buy of York Wallcoverings Inc. Financial terms were not announced. York, Pennsylvania-based York Wallcoverings makes wallpaper, borders, murals, and RoomMates peel-and-stick removable and reusable wall decals. U.S. Bank and M&T Bank provided senior debt financing, while Babson Capital Management supplied the subordinated debt. Mufson Howe Hunter & Company provided financial advice to York.

Panos Brands Acquires Ry-Con Specialty Foods

High Road Capital Partners, a New York-based private equity firm, has completed its acquisition of Ry-Con Specialty Foods through its portfolio company, Panos Brands. Ry-Con produces and distributes hormone-free cheeses and other products that do not contain antibiotics, preservatives, or animal by-products. Terms of the deal were not disclosed; High Road Capital acquired Panos in December 2010; this marks the company’s first add-on acquisition since that time.

Buyout shop High Road Capital Partners has acquired Montvale, New Jersey-based Dowden Health Media. Financial terms of the deal were not released, although High Road said the deal was the seventh platform investment from its debut fund. The acquisition closed on December 22. Dowden provides marketing, communications and information technology services for pharmaceutical companies and hospitals.
