PRESS RELEASE

International law firm Weil, Gotshal & Manges has advised the company and its principal shareholders on the sale of So Television Limited (“So Television”) to ITV plc (“ITV”) through its wholly-owned subsidiary ITV Studios Limited for a total consideration of up to £20 million.

So Television was established in 1998 and founded by Irish comedian Graham Norton and Graham Stuart. The production company, based in London, is the independent producer behind hit entertainment and comedy programmes that are broadcast on BBC and Dave in the UK, including The Graham Norton Show, which airs in over 100 countries, and The Sarah Millican Television Programme. It also produces various shows for BBC Radio 4 under the name of So Radio, and is currently filming a new panel show for BBC America hosted by Graham Norton and featuring US comics.

The transaction is strategically important for both So Television and ITV – it provides So Television with an additional platform for its continued growth and development, and assists ITV in increasing its presence across multiple television networks.

Commenting on the transaction, Graham Stuart of So Television said, “We are incredibly excited to be starting a new chapter in the So story with ITV Studios. Now we have the chance to achieve what we’ve always wanted to in this industry but with real strength and inspiration behind us. This was such a strategically important deal for us, and when you are doing the most important deal of your life you need to believe you have the best possible advice available. We slept soundly every night of this sale process because we knew Mark Soundy and the team at Weil were on our side.”

London corporate partner Mark Soundy and associate Elizabeth Todd led the Weil team, assisted, among others, by David Elphinstone, Sarah Priestley, Ivor Gwilliams, Oliver Walker, Katie Slater and Julian Chatterton.

Olswang LLP (led by partners Stephen Hermer and Paul Guite, along with John Enser, Victoria Gaskell, Edward Heaton and Jacob Gilkes) advised ITV. Taylor Wessing (Ronald Graham and Sarah Needham) advised Graham Norton in relation to his presenter arrangements.
