Aztec Systems Merges with Toutatis Client Services

Aztec Systems Inc., which is backed by Dallas-based private equity firm glendonTodd Capital, is merging with Toutatis Client Services do Brasil, S.A. The combined company will be called Toutatis Aztec Solutions, and will be based in Dallas. The terms of the deal were not released.

glendonTodd Capital LLC (“glendonTodd”), a Dallas based private equity firm today announced the merger of Aztec Systems, Inc. (“Aztec”) and Toutatis Client Services do Brasil, S.A. (“Toutatis”) creating a multinational business process and information technology outsourcing firm with more than 1,000 customers in 13 countries and territories throughout the Americas. The merger is subject to necessary limited partner approvals and is expected to be completed in the first quarter of 2013. Terms of the transaction were not disclosed.

The combined company, to be called Toutatis Aztec Solutions LLC (“TAS”), will be based in Dallas and will offer services including human resources outsourcing, finance and accounting outsourcing, procurement outsourcing, information technology outsourcing, and data hosting services to a growing list of middle market and multinational customers across the Americas.

Headquartered in Dallas, Aztec has six offices across Texas and Oklahoma. Toutatis, a glendonTodd portfolio company, is a full service business process outsourcing firm headquartered in São Paulo and has nine offices in seven countries delivering business process outsourcing services to customers in 12 countries and territories. The merger will create a company with significant market opportunity and scale across the Americas with complementary service offerings. Toutatis gains access to Aztec’s growing base of over 800 customers in the US, and Aztec gains access to Toutatis’ growing base of over 300 customers in Latin America.

Marcelo França, CEO of Toutatis and a founding partner of Performa Partners, will serve as CEO of TAS following the merger. TAS plans to establish a new multilingual shared services center in Dallas staffed with 250 employees to complement the existing centers in Brazil and Mexico. Performa Partners has assisted in the operational and financial changes of Toutatis over the last three years and advised on the merger with Aztec.
