PRESS RELEASE

Hudson, WI – All States, Ag Parts, LLC (“ASAP”), a portfolio company of Kinderhook Industries, LLC (“Kinderhook”), announced today the acquisition of Kern County Tractor Parts, Inc. (“Kern” or the “Company”), a McFarland, California-based provider of used, new aftermarket and remanufactured parts for the agricultural industry. Kern represents the third add-on acquisition for ASAP and Kinderhook’s 75th acquisition in the automotive aftermarket.

Kern, which has been in operation for over 30 years, stocks replacement parts for tractors, skid steers, combines, headers, planters, drills, skid steers, harvesting equipment, tillage products, and much more. The Company provides equipment for leading agricultural brands including John Deere, New Holland, International, Isuzu, Kubota, Bobcat, Case, Caterpillar, Continental, Cummings, Mahindra, Massey Ferguson, and McCormick, among many others.

The acquisition will establish ASAP’s 12th retail location and first salvage yard in California. Over time, ASAP will expand the product line currently available to Kern’s customers by providing access to inventory across ASAP’s entire store and online footprint. The California location also offers ASAP a valuable footprint in the U.S. state with the most food production by volume and access to the California farms, ranches, orchards, and vineyards with long-standing relationships with Kern.

“This is a great acquisition for ASAP,” said John Dyke, CEO. “The West Coast is a huge agricultural market and one that we haven’t been able to serve well in the past due to logistics. We look forward to working with Kern to continue providing the high level of customer service they have come to be known for.”

Chuck Hice, who will continue to manage the Kern County operations going forward, remarked, “Being a part of All States Ag Parts is a great opportunity to improve our ability to take care of customers. We’ll have access to our current inventory, but also the inventory from nine additional salvage yards along with hundreds of thousands of new aftermarket parts. There’s not a part that we shouldn’t be able to supply.”

Paul Cifelli, Kinderhook Managing Director, commented, “We are excited to combine Kern with the current ASAP business. Kern’s strategic location will enable ASAP to better serve its West Coast customer base, who will also benefit from the enhanced product offering that ASAP can provide.”

Monroe Moxness Berg PA served as legal counsel to ASAP. Financing for the transaction was provided by Maranon Capital.
