Publicly traded American Capital Agency Corp., a REIT that invests in government-backed agency pass-through securities and collateralized mortgage obligations, is planning to sell 10 million shares of common stock in a public offering. The company is managed and advised by American Capital Agency Management, an affiliate of the publicly traded private equity firm American Capital.
American Capital Agency Corp. (Nasdaq: AGNC) (“AGNC” or the “Company”) announced today that it intends to offer, subject to market and other conditions, 10,000,000 shares of its common stock in an underwritten public offering. In connection with the offering, the Company intends to grant the underwriters an option for 30 days to purchase up to an additional 1,500,000 shares of common stock to cover overallotments, if any.
AGNC expects to use the net proceeds from this offering to acquire additional agency securities as market conditions warrant and for general corporate purposes.
BofA Merrill Lynch, Citi, Deutsche Bank Securities and UBS Investment Bank are joint book-running managers for the offering.
