Global Finance SA has sponsored a leveraged buyout of Greek healthcare group Euroclinic from Eureko BV, for an undisclosed amount. Eureko will retain a 25% equity interest in Euroclinic. Proskauer Rose advised Global Finance on the deal.

Proskauer Rose LLP, a global law firm with 800 lawyers worldwide, announced it has advised Global Finance SA on the completion of its leveraged buyout of Euroclinic, the Greek health care group, from Eureko BV, the Dutch financial services group. HSBC acted as the lead debt provider in the transaction.

Under the terms of the deal, Eureko BV will retain a 25 percent equity interest in the new holding group. The transaction exchanged in July 2008. By leveraging their expertise in health care, Global Finance and Eureko intend to build and leverage a long-term partnership to further invest in the sector and develop and provide innovative, high-quality products and services.

Proskauer continues to grow its practice in London specializing in private equity and alternative investments, including advising on the formation of new funds, buyouts and exits. The Global Finance deal was led by Matthew Hudson, with senior associate Eamon Devlin and associate Nick Vasquez conducting the transaction. In addition, senior counsel Tim Drake advised on the debt financing, Herschel Goldfield, senior counsel in Proskauer’s New York office, advised on health care matters and Mark Masters in the firm’s Boston office advised on finance matters.

Global Finance also received advice from A.S. Papadimitriou & Co, the Greek law firm, and Dutch law firm Nauta Dutilh. Linklaters and Greek law firm Sarantitis acted for the seller. Norton Rose acted as the Mandated Lead Arranger for the debt.
