Lehman from BAE Systems in August 2007, in a deal that included $145 million of equity.
J.F. Lehman & Company (“JFL”) is pleased to announce the completion of the sale of AIS Global Holdings LLC (“AIS”) to Goodrich Corporation (“Goodrich”). AIS, known as Atlantic Inertial Systems, is a leading provider of mission critical guidance, stabilization and navigation products and systems for the global defense market. The company has operations in both the United States and the United Kingdom. The sale price was approximately $375 million, subject to customary post-closing adjustments. An investment affiliate of JFL acquired the business from BAE Systems in August 2007.
Steve Brooks, Partner at JFL, said, “We are pleased to transfer ownership of AIS to Goodrich as we believe it will be a strong fit with its Sensors and Integrated Systems business and will benefit from Goodrich’s global resources and strong reputation.”
According to Tig H. Krekel, Chairman of AIS and Vice Chairman of JFL, “The AIS transaction was a successful investment for our investors, and we are confident it will prove to be a strong performer for its new owners. The success of the business over the past two years resulted from considerable investment in new technology, and significant emphasis on achieving operational excellence while having very strong growth objectives which were achieved. Under the leadership of Chief Executive Officer Chris Holmes, on both sides of the Atlantic, the firm performed at a very high level and is expected to continue to do so.”
Holmes added, “AIS has benefited tremendously from the strong support and leadership of the JFL team. We look forward to combining capabilities with Goodrich to further benefit the markets we serve.”
Evercore Partners Limited, led by Senior Managing Director Ian Ferguson, provided M&A advisory services for the seller in connection with the transaction. Giles Elliott and Vica Irani led the Jones Day legal team advising the seller.
