PRESS RELEASE

Lowenstein Sandler, a leading law firm that is home to one of the nation's preeminent venture and technology law practices, has announced the opening of a Silicon Valley office to be led by Kathi Rawnsley, who leaves Intel Capital to head Lowenstein's west coast office.

Ms. Rawnsley was most recently Regional Counsel for the U.S. and Canada, and throughout 2007, Acting General Counsel, for Santa Clara-based Intel Capital, where she worked for nine years.  Intel Capital has been the world's most active venture investor.  During Ms. Rawnsley's tenure as Acting General Counsel of ICap, the company invested some $639 million in 166 deals.  Within the last year, Ms. Rawnsley's deals included leading Intel's corporate legal team on a multibillion-dollar joint venture with Micron Technologies in Singapore and working on Intel's proposed strategic investment into a new company to be formed through the combination of Clearwire and the 4G assets of Sprint Nextel announced in May 2008.  She also worked on major transactions involving such companies as VMware and SMART Technologies and provided legal support on numerous venture capital investments in companies as diverse as SpikeSource and Tethys Bioscience.

“Who better to lead our expansion into Silicon Valley than the highly regarded senior counsel of a legendary Silicon Valley tech company?  Kathi's national reputation and leadership ability fit perfectly into Lowenstein Sandler's long term growth strategy and we are honored to have her transition from being our client and friend to becoming a member of our firm,” said Edward M. Zimmerman, chair of Lowenstein's Tech Group.

Said Ms. Rawnsley, “I have worked closely with Lowenstein for several years, and have been constantly impressed with their skills, commitment to serving their clients and entrepreneurial zeal.  The firm's Tech Group is respected as a leader throughout the industry, and I am pleased to join my friends at Lowenstein.”

“Lowenstein's Silicon Valley presence, and the addition of Kathi Rawnsley, demonstrate the firm's strength in and commitment to the venture capital and technology sectors, and also provides an expanded platform for our other strong national practices, such as Investment Management, Specialty Finance and Bankruptcy,” said Lowenstein Sandler Managing Director Gary M. Wingens.

The firm opened a Boston office in November, with Sarah Reed at the helm.  Ms. Reed had been the General Counsel of Charles River Ventures for the 8 years prior to joining Lowenstein.  Ms. Rawnsley co-chaired this year's National Venture Capital Association's Model Legal Documents Annual Meeting, a group established by Ms. Reed when she was at Charles River Ventures.  Ms. Rawnsley also serves as a Board member of the Juvenile Diabetes Research Foundation in Silicon Valley.

Ms. Rawnsley is joined in the new Lowenstein office by Brad Arington, who worked with Ms. Rawnsley at Intel Capital for five years and then served as counsel to the Digital Health Group at Intel for the last three years.  Mr. Arington, who has worked on approximately 100 venture capital transactions, holds a medical degree from University of Virginia, a law degree from New York University and had worked at Silicon Valley's Fenwick & West prior to joining Intel.
