TAL International Group Inc. announced Wednesday a secondary offering of 3 million shares by selling stockholders including The Jordan Company, JZ Capital Partners and Edgewater Growth Capital Partners. Specific terms were not released. BofA Merrill Lynch will be the sole underwriter of the offering.
TAL International Group, Inc. (the “Company”) TAL -2.39% announced today a public secondary offering of an aggregate of 3,000,000 shares of common stock by certain selling stockholders of the Company, including affiliated funds of The Jordan Company, L.P., JZ Capital Partners Limited and Edgewater Growth Capital Partners, L.P. The Company will not receive any of the proceeds from the sale of shares of common stock by the selling stockholders in this offering. The selling stockholders have granted the underwriter an option for 30 days to purchase up to an aggregate of 450,000 additional shares of common stock to cover overallotments, if any.
The offering will be made pursuant to an effective shelf registration statement filed with the U.S. Securities and Exchange Commission. BofA Merrill Lynch will be the sole underwriter of the offering.
