Hudson's Bay Company recently announced that the HSR Act waiting period has been terminated early as part of Hudson's Bay's proposed acquisition of Saks Incorporated. The early termination of this period, which provides the US government an opportunity to review effects on competition prior to mergers, will serve to expedite Hudson's Bay's previously-announced acquisition of Saks.
Harbert Private Equity Fund II said Thursday that it has sold its portfolio company Travis to an affiliate of Main Street Capital Corp. No financial terms were disclosed. VRA Partners advised Travis in this transaction. Headquartered in Houston, Texas, Travis is a manufacturer of all-aluminum dump trailers.
Cinram Group, a Toronto-based media development company, announced this week that it mas acquired Saffron Digital, a London, UK-based provider of video solutions services, for US$47 million. Cinram was previously acquired by Najafi, an Arizona-based PE firm, in 2012, while Saffron Digital was formerly venture-backed by Beringea Private Equity.
Centerbridge Partners has agreed to make a "substantial" undisclosed minority investment in syncreon Holdings Limited. J.P. Morgan Securities, Morgan Stanley & Co. and Simpson Thacher & Bartlett advised syncreon in the transaction while Goldman Sachs and Weil, Gotshal & Manges advised Centerbridge. Syncreon, which is backed by GenNx360 Capital Partners, is a provider of supply chain services.
Bregal Partners has acquired US Community Behavioral. No financial terms were disclosed for the transaction, which was in partnership with US Community Behavioral management. US Community Behavioral is a provider of community-based residential and behavioral services to adults and children with intellectual and developmental disabilities.
Actis said Thursday that it has acquired a majority stake in Atlantic Energias Renovaveis for $169 million. Based in Brazil, Atlantic, which is also backed by Pattac and Servinoga, is a provider of renewable energy solutions.
First Reserve said Thursday that it has agreed to acquire Utility Services Associates. No financial terms were disclosed for the transaction, which is expected to close before the end of the year. Also, Michael Lennon, the former president, CEO and co-founder of InfrastruX Group, joins the USA management team. USA is a turnkey provider of critical outsourced services for power transmission, distribution and substation infrastructure in the Mid-Atlantic and Eastern U.S.
Focus Media Holding Ltd, a Chinese display advertising company backed by Carlyle Group and other private equity firms, plans to return to the loan market with a recapitalisation plan of up to $500 million, according to sources familiar with the matter, Reuters reported.
David Lloyd Leisure (DLL), one of Britain's biggest health club chains, has agreed a takeover deal with private equity group TDR Capital worth more than 700 million pounds ($1.09 billion), Reuters reported.
Team Oil Tools, which is backed by Intervale Capital, has acquired Chancellor Oil Tool. Financial terms weren't announced. Bakersfield, Calif.-based Chancellor is a quick-turnaround maker and installer of liner hangers, liner packers, cement heads, running tools and casing accessories.
